Terms of Service
Effective: January 31, 2024
1: Welcome to Bitja
These General Terms and Conditions (GTC) apply to all contracts between Bitja (hereinafter referred to as “Provider”) and its customers (hereinafter referred to as “Customer”) in connection with the provision of services and digital products, particularly in the areas of digital consulting, design, development, hosting, content creation, and other project-related services.
2: Subject Matter of the Contract
The Provider delivers services based on individual agreements and/or offers. The nature and scope of the services are defined in the respective contract or offer. Any changes or additions require the written consent of both parties.
3: Customer’s Duty to Cooperate
The Customer agrees to provide all necessary information, content, documents, and access credentials in a timely manner for service provision. Delays caused by incomplete or late cooperation are not the responsibility of the Provider.
4: Compensation and Payment Terms
a) Prices and Billing
Compensation is based on the valid offer or pricing agreement at the time. All prices are in Swiss Francs (CHF) excluding VAT, unless stated otherwise.b) Payment Deadlines
Invoices are payable within 30 days from the invoice date without deductions, unless otherwise agreed.c) Late Payment & Collections
In the event of late payment, the Provider reserves the right to initiate a collection process. Outstanding claims may be transferred to third parties for collection. An administrative fee of CHF 30 will be charged per reminder notice. Additional late fees and collection costs may apply.
5: Withholding of Services Due to Late Payment
The Provider reserves the right to begin services only after full payment has been received, if specified in the offer or contract. In the case of delayed payment, deadlines may be adjusted, or services postponed.
6: Involvement of Third Parties
The Provider is entitled to involve suitable third parties in fulfilling the contract. The Provider assumes no liability for services provided by third parties arranged or coordinated on behalf of the Customer (e.g., cashiers, external video editors). The Customer is responsible for contracts, compensation, and terms of engagement with these third parties.
7: Ownership and Usage Rights
All copyrights, usage rights, and ownership rights to delivered work results remain with the Provider unless explicitly agreed otherwise in writing. The Customer receives a simple, non-transferable right to use the work for the agreed purpose.
8: Contract Duration and Termination
Unless otherwise agreed, contracts are valid for an indefinite period and may be terminated by either party in writing with 30 days’ notice at the end of a contract year. Deviations from this can be contractually agreed individually.
9: Fixed-Term Projects and Automatic Termination
For one-time projects with a defined service period (e.g., 1 month), the contract automatically ends upon full delivery of the agreed services. No separate termination is required in such cases.
10: Liability
The Provider is liable only for damages caused intentionally or through gross negligence. Any further liability, especially for indirect damages, lost profits, or data loss, is excluded. The Customer is solely responsible for appropriate data backups.
11: Data Protection
Both parties commit to complying with applicable data protection laws. Personal data will be treated confidentially and used solely for fulfilling the contract.
12: Confidentiality
All information exchanged during the course of collaboration must be treated confidentially and not disclosed to third parties unless there is a legal obligation to disclose.
13: Severability Clause
If any provision of these GTC is or becomes invalid, this shall not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a legally permissible one that most closely reflects the economic intent.
14: Applicable Law and Jurisdiction
Only the substantive laws of Switzerland apply. The place of jurisdiction for all disputes arising from or in connection with the business relationship is the registered office of the Provider.
